Terms and Conditions
1. Agreement
1.1. These terms and conditions ("Terms") govern the use of services provided by Prime Consultant001, a consultant company ("Prime Consultant001"), to the client ("Client").
1.2. By engaging with Prime Consultant001's services, Client agrees to be bound by these Terms.
2. Services
2.1. Prime Consultant001 agrees to provide consulting services ("Services") as agreed upon with the Client.
2.2. Services may include but are not limited to strategic planning, market research, project management, and advisory services.
3. Fees and Payments
3.1. Client agrees to pay Prime Consultant001 the fees as outlined in the service agreement or as otherwise agreed upon in writing.
3.2. Payment terms are specified in the service agreement. Failure to pay fees may result in the suspension of services.
Confidentiality
4.1. Both parties agree to maintain the confidentiality of all information shared during the course of the engagement.
4.2. Confidential information includes but is not limited to business strategies, financial data, and proprietary information.
Intellectual Property
5.1. Any intellectual property created during the engagement, including reports, documents, and strategies, remains the property of Prime Consultant001 unless otherwise agreed upon in writing.
5.2. Client may use the intellectual property solely for its internal business purposes.
Termination
6.1. Either party may terminate the engagement with written notice.
6.2. In the event of termination, Client agrees to pay for all services provided up to the termination date.
Limitation of Liability
7.1. Prime Consultant001 shall not be liable for any indirect, incidental, or consequential damages arising from the Services provided.
7.2. Prime Consultant001's liability shall be limited to the fees paid by Client for the Services.
Governing Law
8.1. These Terms shall be governed by and construed in accordance with the laws of United States Jurisdiction.
Entire Agreement
9.1. These Terms constitute the entire agreement between Prime Consultant001 and Client and supersede any prior agreements or understandings.
Modifications
10.1. Prime Consultant001 reserves the right to modify these Terms at any time. Clients will be notified of any changes in writing.
11. Severability
11.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.

13.1. Client agrees to provide accurate and timely information necessary for Prime Consultant001 to perform the Services.
14. Non-Solicitation
14.1. During the term of the engagement and for a period of [X] months after its termination, Client agrees not to solicit or hire employees or contractors of Prime Consultant001 involved in providing the Services.
15. Dispute Resolution
15.1. Any disputes arising from these Terms shall be resolved through arbitration in accordance with the rules of Baker Tilly.
